Terms of Service

These are starter terms for Sumor. They are not legal advice and are not a substitute for review by qualified counsel.

1. Acceptance

By accessing or using Sumor at sumor.io (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Eligibility and accounts

You must be able to form a binding contract and use the Service only for lawful business purposes. You are responsible for safeguarding account credentials and for activity under your account. Notify us promptly of unauthorized use at [email protected].

3. The Service

Sumor helps executive search consultants build and share client-ready candidate shortlists, including firm branding, secure share links, optional link expiry and passcodes, optional email capture, CV viewing for authorized viewers, and related workspace features. Features may change as we improve the product. We do not guarantee uninterrupted or error-free operation.

4. Your content and responsibilities

You retain ownership of content you upload ("Customer Content"), including shortlists, candidate profiles, CVs, notes, and branding. You grant Sumor a limited license to host, process, display, and transmit Customer Content solely to provide and improve the Service.

You are solely responsible for Customer Content and for how you share it with clients. You represent that you have all rights and lawful bases needed to upload candidate and client data and to share it through Sumor, and that your use complies with applicable privacy, employment, and data-protection laws.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful, harmful, or deceptive purposes
  • Upload content you do not have rights to process or share
  • Attempt to access another organization's data, bypass share-link controls, or probe the Service for vulnerabilities except with our written permission
  • Interfere with or disrupt the Service, or reverse engineer it except where permitted by law
  • Resell or misuse share links in a way that exposes candidate data to unintended recipients

6. Share links

Share links may allow anyone who has the link (and who passes any gates you enable) to view client-facing shortlist content. You control revocation, optional expiry, passcodes, and email capture. You are responsible for distributing links carefully and revoking them when appropriate.

7. Intellectual property

Sumor, including its software, branding, and documentation, remains owned by Sumor and its licensors. These Terms do not grant you rights to our trademarks or underlying software except as needed to use the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SHORTLIST SHARING, CV ACCESS, OR LINK CONTROLS WILL BE FREE FROM ERROR OR SECURITY INCIDENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMOR AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SUMOR FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

10. Termination

You may stop using the Service and delete your account through account settings where available. We may suspend or terminate access if you violate these Terms or if we need to protect the Service or other users. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

11. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Courts located in California will have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable law requires otherwise.

12. Changes

We may update these Terms by posting a revised version on this page and updating the "Last updated" date. Continued use after changes become effective constitutes acceptance of the updated Terms where permitted by law.
